Kola is operated by Kola Limited, a company registered under the laws of the Federal Republic of Nigeria (RC Number on file with the Corporate Affairs Commission), with its registered address at 438B Babaji Aliyu Street, Dantata Estate, Arab Road, Abuja, FCT, Nigeria.
In these Terms, “Kola”, “we”, “us” and “our” refer to Kola Limited. “You” and “your” refer to anyone who accesses or uses the Platform.
By creating an account, accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform. We may update these Terms from time to time. Material changes will be communicated at least 30 days before they take effect. Continued use of the Platform after the effective date constitutes acceptance of the updated Terms.
By using the Platform, you consent to receiving all communications from Kola electronically, including via WhatsApp, email, or notifications within the Platform. Electronic communications satisfy any legal requirement that such communications be in writing.
To use Kola as a Merchant, you must:

Kola is a technology platform that enables Merchants to create online storefronts, accept orders, and receive payments. We are a facilitator, not a party to any transaction between Merchants and Customers.

We reserve the right to suspend or terminate accounts that violate these Terms, are inactive for an extended period, or are flagged for fraudulent activity.

We reserve the right to remove listings and suspend accounts that violate this section without notice.
All payments are processed by Monnify (operated by TeamApt / Moniepoint), a Central Bank of Nigeria (CBN) licensed payment processor.
Kola is currently free to use. We do not charge subscription fees, listing fees, or commissions on transactions.
We reserve the right to introduce fees in the future. If we do, we will provide at least 30 days' notice before any fees take effect. You may close your account if you do not agree to the new fee structure.
Payment processing fees charged by Monnify are separate and are deducted from each transaction as disclosed at the point of payment.
The Platform, including its design, code, features, branding, and documentation, is the property of Kola Limited and is protected by Nigerian and international intellectual property laws.
Merchants retain ownership of the Content they upload. By uploading Content, you grant Kola a non-exclusive, royalty-free, worldwide licence to display, distribute, and promote your Content on the Platform for the purpose of providing the Services.
This licence ends when you delete the Content or close your account, except where the Content has been shared with or cached by third parties.
Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data in compliance with the Nigeria Data Protection Act (NDPA) 2023.
To the maximum extent permitted by Nigerian law:
You agree to indemnify and hold harmless Kola Limited, its directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:
We may suspend or terminate your account, without prior notice, if:
Upon suspension, all new orders and cash outs are blocked. Existing orders placed before suspension may still be fulfilled.
Upon termination, your storefront is taken offline. You will have 30 days to cash out any remaining balance, after which unclaimed funds will be handled in accordance with applicable Nigerian law.
You can delete your account at any time from the Settings page in the Merchant dashboard. Upon deletion:
These Terms are governed by the laws of the Federal Republic of Nigeria.
Any dispute arising from these Terms or your use of the Platform shall first be resolved through good-faith negotiation. If the dispute cannot be resolved within 30 days, either party may refer the matter to mediation under the rules of the Lagos Court of Arbitration (or an equivalent body in Abuja, FCT).
If mediation fails, the dispute shall be submitted to the exclusive jurisdiction of the courts of the Federal Capital Territory, Abuja, Nigeria.
Class action waiver. You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Kola.
Kola shall not be liable for any failure or delay in performing its obligations under these Terms due to events beyond its reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, government actions, power failures, internet disruptions, or failures of third-party service providers.
